These Terms of Service govern the provision and use of the company’s services. By engaging with the organization’s services, users acknowledge that they have read, understood, and agree to be bound by these terms. Where an additional written agreement exists between the organization and a client, that agreement will govern to the extent it expressly covers the same subject matter.
Acceptance of Terms
Use of the organization’s services constitutes acceptance of the terms set forth herein. If a user does not agree with these terms, they must refrain from accessing or using the company’s services. The organization reserves the right to decline service to any party at its discretion and in accordance with applicable law.
Use of Services
Services provided are intended for lawful and authorized uses only. Users agree not to use the company’s services in a manner that violates law, infringes third-party rights, or interferes with other users’ access. The organization may suspend or limit access where misuse is suspected or where continued access would create legal risk.
Intellectual Property
All intellectual property created by the organization in the course of delivering services — including but not limited to designs, code, documentation, frameworks, and methodologies — remains the organization’s property unless otherwise specified in a written agreement. Upon full payment and as agreed in contract, the organization may grant clients licenses or assignment of deliverables. Clients are responsible for securing any rights needed for materials they provide to the company for use in projects.
Limitation of Liability
To the fullest extent permitted by law, the organization’s liability for any claim arising out of or related to the services or these terms is limited to direct damages up to the total fees paid for the services that gave rise to the claim. Under no circumstances will the organization be liable for consequential, incidental, special, or exemplary damages, including lost profits or lost business opportunities, even if advised of the possibility of such damages.
Termination
Either party may terminate an engagement as described in the governing agreement. The organization may suspend or terminate services immediately upon breach of terms, non-payment, or if required by law. Upon termination, outstanding fees and expenses attributable to work performed will become due. Provisions that by their nature survive termination — such as intellectual property rights, confidentiality, and limitation of liability — will remain in force.
Changes to Terms
The organization may revise these Terms of Service from time to time. Notice of material changes will be provided where practical. Continued use of the services following notice of changes constitutes acceptance of the revised terms. In the event of a conflict between a specific written agreement and these terms, the written agreement governs to the extent it explicitly addresses the conflict.
